Terms and Conditions for EmpowHer Web Design Services
1. Definitions
1.1 “Client” refers to the party engaging the services of EmpowHer Web Design.
1.2 “EmpowHer Web Design” refers to Aoife McConnell, an individual/entity providing web design services.
2. Scope of Work
2.1 EmpowHer Web Design agrees to provide web design services as outlined in the project proposal dated.
2.2 Any changes to the scope of work must be agreed upon in writing by both parties.
3. Payment Terms
3.1 The Client agrees to pay EmpowHer Web Design according to the rates and payment schedule outlined in the project proposal.
3.2 Invoices are due 20 days from the date of issuance. Late payments may incur interest charges at a rate of 10% per month.
4. Intellectual Property
4.1 EmpowHer Web Design retains the intellectual property rights to any original work created during the project.
4.2 Upon receipt of full payment, the Client is granted a non-exclusive license to use the completed project for its intended purpose.
5. Confidentiality
5.1 Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the project.
6. Termination
6.1 Either party may terminate the agreement with written notice if the other party breaches the terms. Upon termination, the Client shall pay for any completed work and expenses incurred up to the termination date.
7. Liability
7.1 EmpowHer Web Design is not liable for any loss, damage, or legal consequences resulting from the use or misuse of the completed project.
7.2 EmpowHer Web Design’s liability is limited to the amount paid by the Client for the services.
8. Force Majeure
8.1 Neither party shall be liable for delays or failure to perform due to causes beyond their control.
9. Governing Law and Jurisdiction
9.1 This agreement shall be governed by the laws of Ireland.
9.2 Any disputes arising out of or in connection with this agreement shall be resolved through negotiation or, if necessary, in the courts of Ireland.
10. Amendments
10.1 These terms and conditions may be amended only in writing and with the mutual consent of both parties.
